Terms and Conditions

The Terms Behind Every Engagement

Effective date: October 2026

Overview

Seonoma provides SEO, content strategy, and local search services. These Terms and Conditions apply to all services we provide and, together with your signed-off proposal and the Get Started form, form our agreement with you.

By completing the Get Started form, or by paying a Seonoma invoice, you agree to these terms.

Services

The services we provide are described in your proposal. Any change to the scope, such as adding or removing a service, is agreed in writing (email is fine) before it takes effect.

Where a proposal marks a service as optional, we do not begin or bill for it unless you choose to start it.

Fees and Billing

  • Month 1. The Month 1 setup and strategy fee is a one-time payment, billed upfront by invoice.
  • Monthly services. Monthly services are billed each month at the rates in your proposal. By completing the Get Started form, you authorize us to charge the payment method you provide for these monthly fees until you adjust or pause the services.
  • Payment processing. Invoices and payments are handled securely by Stripe. We never see or store your full card details.
  • Late or failed payments. If a payment fails, we will let you know. We may pause services until the balance is paid.
  • Taxes. Fees do not include any taxes that may apply. You are responsible for those, if any.

Term and Cancellation

Our services are billed month to month, and there is no long-term contract. The six-month timeline in a proposal is the expected sequence of work, not a commitment.

Either of us may adjust, pause, or end the services with 30 days' written notice (email is fine). You remain responsible for fees for services provided through the end of the notice period. The one-time Month 1 fee is non-refundable once work has begun.

No Guarantees

SEO is a long-term effort, not a quick fix. Results usually build over months, and the early months focus on laying the foundation. Search results depend on many factors outside our control, including Google algorithm updates and changes to how AI search tools and other platforms work, any of which can affect your results. We do not guarantee any specific ranking, traffic, number of leads, or revenue. Timelines we give are estimates.

Your Responsibilities

To do our work well, we need your help with the following:

  • Giving us timely access to the tools we need, such as Google Search Console, Google Analytics, your Google Business Profile, and your website. We ask you to add us as a user.
  • Implementing the recommendations and instructions we provide, or giving us access to do so, and telling us before making site changes that could affect search visibility.
  • Reviewing and approving content before publication. You are responsible for the accuracy of your content and for compliance with the laws and professional standards that apply to your business, including any clinical or advertising rules.
  • Maintaining your own privacy and consent practices on your website and analytics.

Delays in access, approvals, or implementation can delay results, and we are not responsible for those delays.

Third-Party Tools and Accounts

You keep ownership of your accounts, including your website, analytics, and business profiles. Our work relies on third-party platforms and tools, such as Google Search Console, Google Analytics, and Google Business Profile. At the end of our engagement, we will remove our access on request.

Ownership and Use of Work

Once you have paid for them, the deliverables we create for you, such as content briefs and reports, are yours to use.

We keep ownership of our own methods, templates, tools, and frameworks. We will not publish your name, results, or case study without your written permission.

Confidentiality and Patient Information

We each agree to keep the other's non-public business information confidential and to use it only for the work.

Our work does not require protected health information or any information about patients or clients. Please do not send us any, and please do not include it in forms, reports, or analytics data you share with us.

Limitation of Liability

We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business, arising from our services. Our total liability for any claim related to the services is limited to the fees you paid us in the three months before the claim arose.

Our Relationship

Seonoma is an SEO agency. Nothing in these terms makes us your employee, business partner, or legal representative.

Changes to These Terms

We may update these terms from time to time and will post the new effective date on this page. Changes do not apply to an existing engagement unless you agree to them in writing.
